Thornbridge Holdings boardroom atrium in London, where group governance and oversight are set

Governance

Policies, standards, and accountability.

A clear framework for how Thornbridge Holdings and its operating companies are directed, controlled, and held to consistent standards.

Our framework

Governance built for permanence.

As a privately held group, we answer to our own standards first. Good governance is not a box-ticking exercise — it is how we protect people, capital, and reputation over decades.

The holding board sets group strategy, risk appetite, and capital allocation. Each operating company has its own board or responsible officer, with clear delegated authority and regular reporting lines back to the group.

Where an operating company is regulated, its statutory obligations sit above group targets. We believe compliance is a competitive advantage, not a constraint.

In practice the framework is deliberately plain: written delegated authority limits, one monthly reporting pack used by every division, a live risk register per company, and four standing agenda items reviewed in the same order every quarter — safety, regulatory standing, staffing, and cash. Nobody in the group should have to guess who decides what, or how a problem is escalated.

The board year

A fixed calendar, not an ad-hoc one.

Quarterly

Operating company review

Each company presents against the standing agenda: safety and safeguarding, regulatory standing and any inspection activity, staffing and retention, then financial performance and cash.

Monthly

Group reporting pack

A single consolidated pack covering trading, cash, debtor days, headcount, incidents, and open risks. Same format for every division so trends are comparable.

Annual

Capital allocation review

Where retained earnings go for the coming year, tested against alternatives across all three divisions rather than defaulting to whoever asked loudest.

Annual

Policy and risk refresh

Group policies, delegated authority limits, insurance cover, and risk registers are reviewed, updated, and re-issued to every operating company.

Risk management

The risks we track by name.

Quality and safeguarding

Incidents, complaints, and safeguarding referrals are reported upward within days, not at quarter end. A serious concern reaches the group board immediately.

Regulatory standing

Registration status, conditions, action plans, and inspection outcomes are tracked per registered entity, with remediation owned by a named person.

Workforce

Vacancy rates, turnover, agency reliance, and training compliance — the earliest signals of operational strain in any service business.

Financial

Liquidity headroom, debtor days, covenant headroom where debt exists, and reserves sized against a downside case rather than the plan.

Information and data

Access control, retention, supplier assurance, and incident response, with UK GDPR obligations treated as a floor rather than a target.

Continuity

Business continuity and disaster-recovery arrangements per operating company, tested rather than filed.

Policies

The rules that guide us.

Group Governance Charter

The board sets strategy, risk appetite, and capital allocation for the group. Each operating company retains an independent board with at least one group representative and clear delegated authority.

People & Conduct

We expect fair recruitment, safe working conditions, whistleblowing protection, and zero tolerance of discrimination, harassment, or modern slavery in any part of our supply chain.

Data Protection & Privacy

We process personal data lawfully, keep records only as long as needed, and maintain breach-response procedures. Each entity appoints a responsible owner for data protection compliance.

Anti-Bribery & Ethics

Gifts, hospitality, and supplier relationships are recorded and proportionate. We do not offer or accept inducements that could influence independent judgment.

Quality standards

How we keep the bar high.

01

Regulated-first discipline

Where an entity is CQC-registered or otherwise regulated, compliance inspections and statutory returns take priority over growth targets.

02

Quarterly board reviews

Every operating company is reviewed at least once a quarter on safety, finance, staffing, and regulatory standing.

03

Consolidated risk register

Group-level risks are tracked centrally, with owners, mitigations, and escalation triggers reviewed by the holding board.

04

Documented policies

Core policies are written, approved, and reviewed annually. Version control and staff acknowledgement are maintained for each entity.

Compliance commitments

What we commit to, without exception.

Statutory compliance

We file accounts, returns, and registrations on time, maintain accurate statutory books, and keep group and entity structures transparent to regulators.

Continuous improvement

Policies are living documents. Incidents, inspections, and feedback are used to update procedures and training at least annually.

Fair dealing

We honour contracts, pay suppliers promptly, and communicate openly with creditors, landlords, and partners.

Reporting concerns

Raise a concern in confidence.

If you work with or within Thornbridge Holdings and have a concern about conduct, safety, or compliance, we want to hear it. Reports can be made directly to the group company secretary or through the relevant operating company whistleblowing channel.
